FIRST AMENDMENT TO AGREEMENT <br />SOUTHERN CALIFORNIA JOINT POLE AGREEMENT <br />THIS FIRST AMENDMENT AGREEMENT, made for the purpose of amending <br />the Southern California Joint Pole Agreement dated January 1, 1988, is made and entered <br />into effective as of the 1st day of January, 1992, by and among the parties listed in section <br />3 hereof. <br />RECITAL A: <br />The parties hereto are also parties to that certain Agreement dated January 1, 1988, <br />relating to the joint ownership and occupancy of public utility poles in the State of California <br />and elsewhere, hereinafter referred to as "said Agreement". <br />RECITAL B: <br />It is the desire of the parties hereto that said Agreement be amended in certain <br />particulars as hereinafter set forth. <br />NOW, THEREFORE, in consideration of the mutual covenants herein contained, the <br />parties hereto agree as follows: <br />1. AMENDMENT OF SAID AGREEMENT. <br />(a) Section 7, Voting Procedures of the Administrative Board, of said <br />Agreement is hereby amended by striking the first sentence of the second full paragraph on <br />page 6 of said Agreement which now reads: <br />"Any number of Regular Members who may be represented at <br />a meeting of the Administrative Board shall constitute a <br />quorum." <br />and by substituting therefor a new sentence to read as follows: <br />
