La Cadena Drive <br />Colton, CA. 92324 <br />Dear Mr. Clarke: <br />FILE NO. <br />94 - 053. 01. 01 <br />This letter constitutes an Interchange Agreement ("Agreement") <br />between San Diego Gas & Electric Company ( "SDG&E") , a California <br />corporation and the City of Colton, ("Colton"), a municipal <br />corporation, hereinafter sometimes referred to individually as <br />"Party" and collectively as "Parties". This Agreement will enable <br />a Party to purchase, sell or exchange surplus capacity and/or <br />energy from, to or with the other Party in accordance with the <br />following terms and conditions. This Agreement does not provide <br />advance agreement for either Party to make available or purchase or <br />exchange any amount of such capacity and/or energy. <br />Terms and Conditions <br />1. Term of Agreement - This Agreement shall become effective when <br />executed by the Parties and accepted for filing by the Federal <br />Energy Regulatory Commission ("FERC") without suspension, <br />changes or new conditions unacceptable to either Party, and <br />shall remain in effect until terminated by either Party upon <br />ninety day's advance written notice to the other Party. <br />2. Availability and Sale of Surplus Capacity and/or Energ <br />(a) .At any time during the term of this Agreement, the <br />Parties may notify each other that amounts of capacity <br />
