Mr. Thoma: K. Clarke <br />21 October, 1994 <br />Page 2 <br />and/or energy are available for purchase, sale or <br />exchange. Each Party shall be the sole judge as to the <br />extent to and the conditions under which it is willing to <br />provide such surplus capacity and energy hereunder. The <br />terms and conditions for any purchase or sale of capacity <br />and/or energy ( "Transaction") shall be as agreed to by <br />the Parties in advance of the Transaction, including <br />terms and conditions relating to interruptabili ty, price, <br />quantity, term and delivery point. <br />(b) To meet the day to day requirements of the respective <br />power systems, the Parties' schedulers or dispatchers may <br />agree on the terms, conditions compensation and <br />scheduling provisions for Transactions which do not <br />exceed thirty-one (31) days. Such Transactions shall be <br />promptly confirmed in writing by the Authorized <br />Representatives, pursuant to Section 7, if requested by <br />either Party. <br />(c) For Transactions longer than thirty-one (31) days but not <br />exceeding two years, an appropriate SDG&E representative <br />and Colton's Director of Utilities shall execute a <br />separate written document specifying the terms, <br />conditions, compensation and scheduling provisions. <br />(d) Each Party reserves the right to delay commencement of <br />deliveries until receipt of written document described in <br />Section 2 (b) or required by Section 2 (c). It is <br />understood that SDG&E does not have to file the above <br />mentioned written documents with FERC unless FERC so <br />orders. <br />(e) All Colton deliveries of surplus capacity and/or energy <br />to SDG&E and all SDG&E deliveries of capacity and/or <br />energy to Colton under this Agreement shall be at points <br />of delivery mutually agreed to by the Parties' <br />schedulers, dispatchers, or Authorized Representatives <br />,pursuant to Section 2 (b) or an appropriate SDG&E <br />representative and Colton's Director of Utilities <br />bch10/94 <br />
