CONSULTANT SERVICES AGREEMENT <br />THIS AGREEMENT is made this 15th day of MARCH , 1994, by and between <br />the CITY OF COLTON, a public body, corporate and politic, located at 650 North La <br />Cadena Drive, Colton, California 92324, County of San Bernardino, State of <br />California (hereinafter "City"), and NORCAL/San Bernardino, Inc., a California <br />corporation and a subsidiary of NORCAL Waste Systems, Inc., located at 2050 S/ <br />Milliken Avenue, Ontario, California 91761 (hereinafter "Consultant"). <br />WHEREAS, Consultant is a California Corporation and an engineering consultant <br />experienced in providing services necessary to design, engineer, and determine <br />appropriate financing mechanisms for the development of a materials recovery <br />facility/transfer station ("MRF") to service particular regions, including developing all <br />necessary engineering, architectural, surveying and project administration costs <br />required for the development of such a MRF; and <br />WHEREAS, City desires to retain Consultant to provide professional services in <br />accord with the Scope of Service set forth in Exhibit A hereto for a MRF project within <br />the City of Colton ("Project"). <br />NOW, THEREFORE, City AND CONSULTANT MUTUALLY AGREE THAT: <br />SECTION I <br />SERVICES OF THE CONSULTANT <br />1. General Description of Services. The consultant will perform the tasks set <br />forth in the Scope of Service set forth in Exhibit A hereto on the terms and conditions <br />set forth in this Agreement. <br />2. Term. The term of this Agreement shall continue on a month-to-month <br />basis from the above date until terminated pursuant to Section V below. <br />SECTION II <br />RESPONSIBILITIES OF CONSULTANT <br />1. Personnel. All the work shall be performed by Consultant or under <br />Consultant's supervision. The Consultant represents that it is qualified and possesses <br />the professional and technical personnel required to perform the services required by <br />this Agreement. City retains Consultant on an independent contractor basis and <br />Consultant is not an employee of the City. The personnel performing the services <br />under this Agreement on behalf of Consultant shall at all times be under Consultant's <br />exclusive direction and control.
