CONSULTANT SERVICES AGREEMENT THIS AGREEMENT is made this 15th day of MARCH , 1994, by and between the CITY OF COLTON, a public body, corporate and politic, located at 650 North La Cadena Drive, Colton, California 92324, County of San Bernardino, State of California (hereinafter "City"), and NORCAL/San Bernardino, Inc., a California corporation and a subsidiary of NORCAL Waste Systems, Inc., located at 2050 S/ Milliken Avenue, Ontario, California 91761 (hereinafter "Consultant"). WHEREAS, Consultant is a California Corporation and an engineering consultant experienced in providing services necessary to design, engineer, and determine appropriate financing mechanisms for the development of a materials recovery facility/transfer station ("MRF") to service particular regions, including developing all necessary engineering, architectural, surveying and project administration costs required for the development of such a MRF; and WHEREAS, City desires to retain Consultant to provide professional services in accord with the Scope of Service set forth in Exhibit A hereto for a MRF project within the City of Colton ("Project"). NOW, THEREFORE, City AND CONSULTANT MUTUALLY AGREE THAT: SECTION I SERVICES OF THE CONSULTANT 1. General Description of Services. The consultant will perform the tasks set forth in the Scope of Service set forth in Exhibit A hereto on the terms and conditions set forth in this Agreement. 2. Term. The term of this Agreement shall continue on a month-to-month basis from the above date until terminated pursuant to Section V below. SECTION II RESPONSIBILITIES OF CONSULTANT 1. Personnel. All the work shall be performed by Consultant or under Consultant's supervision. The Consultant represents that it is qualified and possesses the professional and technical personnel required to perform the services required by this Agreement. City retains Consultant on an independent contractor basis and Consultant is not an employee of the City. The personnel performing the services under this Agreement on behalf of Consultant shall at all times be under Consultant's exclusive direction and control.
