It dues not constitute <br />an offer by City acid it does not set forth all the material terms and conditions that will have to be <br />agreed apon for the contemplated tmnsaation to be consummated. Neither City nor CPCshall b4e. <br />bound by the tennis of this letter, nor shall they have any obligations to one another with respect to the. <br />transactlons contemplated by this letter until each party has obtained all the necessary cyorpcorate <br />applc+ravtds and the definitive agreement referred to below has been approved and executed by the parte. <br />We undf stand that the Easement ant! Right -of -Way Agreement which City and CPC have been <br />negotiating, if entered into, would constitute the "definitive agreement." It is anticipaW, that this <br />agrcement betwmn the parties shall include the following: <br />(1) City shall pay to CPG the sure of $250,000, 0 as a. purchs.se price for said ea,sernenrs; <br />(2) CPC and City shall enter into the Easement and Right -of -may Agreement w1l ich shall <br />provide, inter alias (i) for the granting by CYC of non-exclusive eawments and.
