CITY OF COLTON <br />REIMBURSEMENT AGREEMENT FOR DEVELOPMENT PROJECT <br />(BARTON RD. WAREHOUSE/DISTRIBUTION CAMPUS REDEVELOPMENT) <br />1. PARTIES AND DATE. <br />This Reimbursement Agreement ("Agreement") is made this 8`" day of August, 2019, by <br />and between the City of Colton, a California municipal corporation ("City"), and Hager Pacific <br />Properties, LLC, a California limited liability company with its principal place of business at 4100 <br />Newport Place, Suite 820, Newport Beach, CA 92660 ("Owner"). City and Owner are sometimes <br />individually referred to as "Party" and collectively as "Parties" in this Agreement. <br />2. RECITALS. <br />2.1. Property. The Owner is the owner of that certain real property located within the <br />City of Colton, County of San Bernardino, California, and more particularly described in Exhibit <br />"A" attached hereto and incorporated herein by reference ("Property"). <br />2.2 Project. The Owner is contemplating the development of the Property as described <br />in Exhibit `B" attached hereto and incorporated herein by reference ("Project"). The Owner has <br />submitted applications for various discretionary land use approvals for the Project, consolidated <br />as "DAP -001-602," including, without limitation, those listed in Exhibit "C" attached hereto and <br />incorporated herein by reference, as well as all related environmental review pursuant to the <br />California Environmental Quality Act ("CEQA") and other applicable laws, rules and regulations. <br />2.3 Consultants. To provide the City with the needed expertise and information <br />necessary for the City's review process concerning the Project, it is or may become necessary for <br />the City to access the services of certain outside legal, environmental, planning and other experts <br />for the Project ("Consultants"). <br />2.4 Reimbursement. As a condition to the City's completion of the Project review <br />process, the Owner has agreed to reimburse the City for the Consultants' costs and expenses related <br />to the City's Project review process, as well as any other out-of-pocket expenses incurred by the <br />City, in the manner and amounts set forth in this Agreement. The Owner's reimbursement of City <br />under this Agreement will ensure that the City has the necessary resources to diligently and <br />efficiently process the Owner's Project. <br />(BB&K: 12-11) <br />
