Agency disclaims any responsibility for the personal safety of Contractor <br />and does not provide any liability coverage to Contractor for operation of <br />any motorized vehicle. <br />2.05 Hazardous Materials Program. Contractor agrees to have and maintain <br />in effect during the course of this Agreement a hazardous materials <br />program for employees, in compliance with federal and state law. <br />Contractor agrees to provide necessary and applicable training relative to <br />compliance with the federal and state blood-borne pathogens standard <br />for employees. <br />2.06 Retention of Financial Books and Records. Agency shall retain the <br />financial books and records for at least four (4) years after the expiration <br />or termination of this Agreement. <br />2.07 Indemnity. Agency shall indemnify and hold harmless Contractor, and its <br />officers, trustees, agents, and employees from all losses, claims, <br />expenses, damages, liabilities, or obligations of any kind arising from or <br />connected with the conduct of Agency, its officers, directors, employees, <br />agents, subcontractors, independent contractors, assigns, or <br />representatives. <br />LLUMC shall indemnify and hold harmless Agency, and its officers, <br />trustees, agents, and employees from all losses, claims, expenses, <br />damages, liabilities, or obligations of any kind arising from or connected <br />with the conduct of LLUMC, its officers, directors, employees, agents, <br />subcontractors, independent contractors, assigns, or representatives, if <br />any, in any way relating to or arising out of LLUMC's performance of this <br />Agreement. <br />2.08 HIPAA Obligations. By virtue of the services performed on behalf of <br />Agency by Contractor, pursuant to this Agreement, Contractor may be a <br />"Business Associate," as defined by the privacy regulations promulgated <br />pursuant to the Health Insurance Portability and Accountability Act of <br />1996, as amended ("HIPAA Rule"). As such, Contractor agrees to the <br />following obligations with respect to its functions or activities involving the <br />use or disclosure of individually identifiable health information. <br />2.08.1 Protected Health Information. In the course of performing its <br />duties and obligations under this Agreement, contractor will receive or <br />create certain information concerning patients or clients of Agency that <br />constitutes "Protected Health Information" within the meaning of the <br />HIPAA Rule ("PHI"). <br />2.08.2 Obligations with Respect to PHI. Contractor covenants and <br />agrees that it will: <br />a.
