k. Provide Agency upon request a written summary of all <br />persons, entities, or classes of persons or entities to which <br />Contractor has disclosed PHI within ten (10) calendar days of <br />receipt of Agency's request. <br />208.3 Permissible Uses or Disclosures of PHI. In addition to the <br />authorized uses and disclosures of PHI contained in this <br />Agreement, Contractor may also use PHI received from Agency, if <br />necessary: <br />a. For the proper management and administration of Contractor; or <br />b. To cant' out the legal responsibilities of Contractor; or <br />c. To aggregate PHI in accordance with this Agreement; or <br />d. To disclose to third parties if contractor obtains reasonable <br />assurances from such parties that PHI received will be held <br />confidentially and used or further disclosed only as required by <br />law or for the purposes for which it was disclosed to such third <br />party. Notwithstanding the foregoing, if Contractor discloses <br />PHI to a third party pursuant to this Agreement, Contractor shall <br />require the third party to agree in writing to be bound by each of <br />the covenants set forth herein. In particular, Contractor shall <br />require the third party to notify Contractor in writing of any and <br />all instances of a breach of the confidentiality of PHI promptly <br />after learning of the breach. Contractor shall notify Agency in <br />writing of the breach of confidentiality in accordance with this <br />Agreement. <br />ARTICLE III <br />COMPENSATION <br />3.01 Contractor Compensation. In exchange for Contract Services, Agency <br />agrees to pay Contractor the amount of $2,400.00 per month, payable on <br />the first of the month, commencing December 1, 2007. <br />3.02 Late Payment. For all payments not received by Contractor within 10 <br />days of their due date, Agency shall pay a late fee equal to 10% of the <br />unpaid amount monthly until the amount is paid. <br />ARTICLE IV <br />TERM OF AGREEMENT AND TERMINATION <br />4.01 Term. This Agreement shall remain in full force and effect from November <br />1, 2007, to June 30, 2008. the term shall be automatically extended for <br />additional periods of twelve months each, unless either party gives written <br />notice to the other in accordance with this Agreement. <br />C:\1ETemp\OLK14DTmergency Medical Services Liaison Agreement - LLUMC.doc <br />Page 5 <br />
