H. Riaht to Monitor. Audit and Investi ate <br />The Federal Government, State Government, or duly <br />authorized representative of the State Government, which <br />includes but is not limited to the Auditor General, shall <br />have the right to monitor and audit all parties to this <br />agreement and all subcontractors providing services under <br />this agreement through on-site inspections, audits and <br />other means the deemed necessary for a period of three <br />years from the date of the final payments under this <br />contract. <br />I. Disputes <br />Any controversy or claim arising out of or relating to <br />this Agreement, or the breach of this Agreement, shall be <br />settled by arbitration in accordance with the Commercial <br />Rules of the American Arbitration Association, and <br />judgement upon the award rendered by the Arbitrator(s) <br />may be entered in any court having jurisdiction. <br />The decision of the Arbitrator(s) will be a condition <br />precedent to the right of any legal action. The <br />prevailing party will be reimbursed for any and all <br />attorney's fees, including those incurred in any <br />arbitration hearing. In no event shall the arbitration <br />or settlement of any controversy delay the performance of <br />this Agreement. <br />J. Cancellation <br />This contract may be terminated by either party upon 30 <br />days written notice to the other party, and may be <br />amended upon mutual consent. <br />K. subcontracts <br />No subcontracts shall be permitted under this Agreement. <br />4, <br />
