6. Warrant of Capacity to Execute Agreement. JULIE <br />HAYWARD BIGGS represents and warrants that no other person or <br />entity has or has had any interest in the claims, demands, <br />obligations or causes of action referred to in this Settlement <br />Agreement, except as otherwise set forth herein, and she has the <br />sole right and exclusive authority to execute this Settlement <br />Agreement and receive the sums specified in it; and that she has <br />not sold, assigned, transferred, conveyed, or otherwise disposed <br />of any of the claims, demands, obligations, or causes of action <br />referred to in this Settlement Agreement. <br />7. Irrevocable One -Year Contract Established. Upon <br />execution by all parties, this Agreement shall constitute and <br />comprise the irrevocable one-year contract necessary to hire <br />JULIE HAYWARD BIGGS as Legal Affairs Manager on the terms and <br />conditions set forth in Section 3, pages 4-5, above. <br />8. Severability. The obligations of the parties <br />hereto and respective attorneys are severable and divisible. If <br />in any event any consideration described herein is determined to <br />be illegal or unenforceable, the remainder of the Settlement <br />Agreement shall be enforceable provided that in the event that <br />the irrevocable one-year contract position of Legal Affairs <br />Manager and/or the salary and benefits payable for that position, <br />as set forth in Section 3 hereof, are determined to be illegal or <br />unenforceable, the undiscounted unpaid dollar value of salary <br />and/or benefits shall be immediately paid to JULIE HAYWARD BIGGS <br />in cash. <br />cotton\settle.2 Page 8 of 10 <br />
