("Republic") is in the process of acquiring the customer accounts of <br />Jack's Disposal Service, Inc. ("Jack's Disposal") in the City of Colton. This will be done through <br />a transaction whereby Taormina Industries, LLC, a subsidiary of Republic ("Taormina") will <br />continue to fulfill the customer account service obligations of Jack's Disposal in the City of <br />Colton. Republic's acquisition of such customer accounts is contingent on the unconditional <br />transfer to Taormina, of any permits Jack's Disposal issued by the City of Colton with respect to <br />such customer accounts.
