4.2 Pursuant to the terms and conditions of this Agreement, AUN agrees to provide Colton <br />with copies of all AUN documentation pertaining to its activities as an Energy Service <br />Provider during the term of this Agreement unless prevented by the refusal of a retail <br />customer to disclose such information. All other available information not thus withheld <br />shall be provided by AUN to Colton for the term of the Agreement. <br />4.3 AUN agrees to pay Colton for all energy scheduled by AUN at the rate established in <br />Article VI of this agreement for the term of the agreement. AUN shall be responsible for <br />all taxes, costs, and charges. <br />ARTICLE V <br />SCHEDULING ENERGY <br />5.1 All scheduling of energy shall be coordinated by the Parties common ISO certified <br />Scheduling Coordinator, Sempra Energy Trading. <br />5.2 Any and all available energy not scheduled by AUN under this Agreement may be <br />scheduled by Colton for Colton's purposes at no cost to Colton. <br />ARTICLE VI <br />PRICE OF ENERGY <br />6.1 AUN shall pay Colton for all energy scheduled by AUN at the rate of $21 per Megawatt - <br />Hour for the term of the Agreement. <br />ARTICLE VII <br />BILLING AND PAYMENT <br />7.1 The Scheduling Coordinator, SET, in accordance with its separate agreement with Colton, <br />shall account for all energy scheduled by AUN on a monthly basis, and shall render a bill <br />to AUN on a monthly basis. <br />Page 4 of 16 <br />Power Sales Agreement <br />Colton and American Utility Network <br />
