1 <br />ARTICLE V <br />2 <br />SCHEDULING ENERGY <br />3 <br />4 <br />5.1 <br />All scheduling of energy shall be coordinated by the Parties common ISO certified <br />5 <br />Scheduling Coordinator, Sempra Energy Trading. <br />6 <br />5.2 <br />Any and all available energy not scheduled by AUN under this Agreement may be <br />7 <br />scheduled by Colton for Colton's purposes at no cost to Colton. <br />8 <br />9 <br />ARTICLE VI <br />10 <br />PRICE OF ENERGY <br />11 <br />6.1 <br />AUN shall pay Colton for all energy scheduled by AUN at the rate of $21 per <br />12 <br />Megawatt-Hour for the term of the Agreement. <br />13 <br />14 <br />ARTICLE VII <br />15 <br />BILLING AND PAYMENT <br />16 <br />7.1 <br />The Scheduling Coordinator, SET, in accordance with its separate agreement with <br />17 <br />Colton, shall account for all energy scheduled by AUN on a monthly basis, and shall <br />18 <br />render a bill to AUN on a monthly basis. <br />19 <br />7.2 <br />AUN shall pay SET for all energy scheduled by AUN in accordance with the terms <br />20 <br />and conditions of AUN's agreement with SET. <br />21 <br />7.3 <br />SET shall pay Colton by netting such sales of energy to AUN against SETS monthly <br />22 <br />invoice to Colton in accordance with SETS separate agreement with Colton. <br />23 <br />7.4 <br />Any dispute shall be referred to the Operating Representatives for resolution. In the <br />24 <br />event of a dispute which cannot be resolved by the Operating Representatives, the <br />25 <br />matter shall be referred to the Colton Utility Director and the President of American <br />26 <br />Utility Network as a condition precedent to any litigation. <br />27 <br />7.4 <br />All payments to be made by AUN to Sempra shall be sent to: <br />28 <br />Sempra Energy Trading <br />29 <br />One Greenwich Plaza <br />30 <br />Greenwich, CT 06830 <br />31 <br />Sempra may, at any time, by written notice to AUN, change the address to which <br />Power Sales Agreement, City of Colton and American Utility Network June 8, 1999 Page 4 of 18 <br />
